Terms of Service

1. The Service

Dave is a SaaS AI Operating System providing AI-powered business operations tooling including project management, AI agent dispatch, subscription billing, and related features.

2. Account Registration

• ·You must provide accurate, current, complete registration information
• ·You are responsible for maintaining account security
• ·Notify us immediately of any unauthorised access
• ·Accounts are for business use only; you must be 18+

3. Subscriptions and Billing

Plans: Starter £199/mo, Growth £499/mo, Scale £999/mo, Enterprise £2,499/mo. Annual pricing available at 20% discount.

Payment is processed by Stripe in GBP. Subscriptions renew automatically until cancelled.

Metered usage: AI token overages (£4.40/1k tokens), production deploys (£35/deploy), video generation (£5/video). Metered charges require your pre-action consent.

30 days’ notice will be given of price increases. Subscription fees are non-refundable except where required by law.

4. Acceptable Use

You must not use the Service to:

• ·Violate any applicable law or regulation
• ·Infringe third-party intellectual property rights
• ·Transmit malware, spam, or malicious code
• ·Attempt unauthorised access to our systems
• ·Reverse engineer or extract our source code
• ·Resell or sublicense the Service without written authorisation
• ·Generate defamatory, obscene, or harmful content

5. Intellectual Property

All IP in the Service belongs to us or our licensors. You retain ownership of your content and data. You grant us a limited licence to process your content to provide the Service.

6. Data and Privacy

Data collection and use is governed by our Privacy Policy (incorporated herein). You are responsible for ensuring you have the right to upload any third-party data.

7. Service Availability

We target 99.5% monthly uptime excluding scheduled maintenance. We may modify or discontinue features with reasonable notice.

8. AI-Generated Content

AI-generated content may contain errors. You are responsible for reviewing outputs before use. We do not warrant AI outputs will meet any specific quality standard.

9. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for indirect, consequential, or punitive damages. Our aggregate liability shall not exceed the greater of: total fees paid in the 12 months preceding the claim, or £500. Nothing excludes liability for death/personal injury from negligence, fraud, or matters that cannot be excluded by law.

10. Warranties

The Service is provided “as is” without warranty of merchantability, fitness for purpose, or non-infringement.

11. Indemnification

You agree to indemnify us against claims arising from your use of the Service, Your Content, or breach of these Terms.

12. Term and Termination

You may cancel at any time through the platform. We may terminate your account immediately for breach of these Terms or non-payment. Upon termination, your data is retained for 90 days for export, then deleted.

13. Governing Law

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

14. General

These Terms and our Privacy Policy constitute the entire agreement. We may update these Terms with 14 days’ notice. Continued use constitutes acceptance.
